Zorveus Terms of Service

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

1. About Zorveus

Zorveus provides infrastructure that helps AI applications manage, control, fund, track, and monetize AI usage. Depending on the features you use, the Services may include:

• OpenAI-compatible AI inference APIs;
• Access to third-party AI models and providers;
• Developer organizations and application management;
• Product-user mapping and usage attribution;
• Spending limits and usage controls;
• AI credit grants and ledgers;
• Wallet and balance functionality;
• Model access controls;
• API keys and authentication tools;
• SDKs, developer tools, and related infrastructure.

Zorveus may add, change, suspend, or discontinue features from time to time.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use the Services.

You are responsible for:

• Providing accurate account information;
• Maintaining the confidentiality of your credentials, API keys, tokens, and access methods;
• All activity conducted through your account or organization;
• Promptly notifying us of suspected unauthorized access or security incidents.

You may not share credentials in a manner that compromises account security or bypasses applicable limits or controls.

3. Organizations, Applications, and Product Users

If you create or manage an organization or application through Zorveus, you are responsible for:

• Ensuring that you have the necessary rights and permissions to connect your application to Zorveus;
• Accurately configuring permissions, model access, spending limits, and related settings;
• Ensuring that your use of product-user identifiers complies with applicable law and your own privacy obligations;
• Obtaining any notices, consents, or permissions required from your end users.

Zorveus may allow you to associate your own user identifiers with Zorveus product-user records. You remain responsible for the relationship with your end users and for the legality of the data you provide to Zorveus.

4. AI Inference and Third-Party Providers

The Services may route requests to third-party AI model providers, infrastructure providers, or other subprocessors.

By using AI inference features, you authorize Zorveus to transmit relevant request data to the providers necessary to process your request.

Third-party providers may have their own terms, usage policies, data handling practices, geographic restrictions, and model-specific limitations. Your use of a third-party model through Zorveus may be subject to those requirements. Zorveus does not control the availability, accuracy, safety, reliability, or continued operation of third-party models or providers.

5. AI Inputs and Outputs

You retain rights you have in prompts, inputs, files, instructions, and other content you submit to the Services ("Inputs").

Subject to applicable law and third-party provider terms, you receive any rights Zorveus may have in outputs generated in response to your Inputs ("Outputs").

You are responsible for reviewing Outputs before relying on, publishing, or using them. AI Outputs may be inaccurate, incomplete, misleading, similar to outputs generated for other users, or contain errors or unexpected content.

6. Acceptable Use

You may not use the Services to:

• Violate applicable law or regulation;
• Infringe intellectual property, privacy, publicity, or other rights;
• Distribute malware, malicious code, or harmful payloads;
• Gain unauthorized access to systems, accounts, data, or networks;
• Interfere with or disrupt the Services or their underlying infrastructure;
• Bypass usage limits, spending controls, rate limits, access controls, or security mechanisms;
• Engage in fraudulent, deceptive, abusive, or exploitative activity;
• Use the Services in a manner prohibited by applicable third-party provider policies;
• Resell, sublicense, or redistribute access to the Services except where expressly permitted by Zorveus.

We may suspend or restrict access where we reasonably believe use of the Services creates security, legal, fraud, abuse, or operational risk.

7. Billing, Usage, Credits, and Wallets

Certain Services may require payment, prepaid balances, usage-based charges, credits, or other billing arrangements. You are responsible for all authorized charges associated with your account, organization, applications, product users, or API keys.

Usage Measurement

Zorveus may calculate charges based on model usage, token usage, request volume, provider cost, applicable platform fees, credit grants, and plan or account configuration. Usage records maintained by Zorveus will be used to determine billing unless there is a clear error.

Spending Limits

Spending limits and allowances are control mechanisms, but they should not be treated as absolute guarantees against all excess usage. Delays, concurrency, provider reporting, technical failures, retries, or other operational factors may occasionally affect enforcement.

Credits

Promotional, granted, or non-cash credits may have expiration dates, may be limited to particular applications, users, models, or purposes, may be non-transferable, and are not redeemable for cash unless expressly stated otherwise.

Wallets and Balances

Where wallet functionality is available, balances may be used only as permitted by Zorveus and applicable law. Wallet balances are not bank deposits and do not earn interest unless explicitly stated otherwise. Zorveus may use third-party payment processors to collect or settle funds. Additional payment-provider terms may apply.

8. Refunds

Except where required by law or expressly stated otherwise, fees and usage charges are non-refundable once incurred. If you believe a billing error occurred, contact us within 30 days of the relevant charge.

9. Service Availability

We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability. The Services may be unavailable because of maintenance, third-party provider outages, model deprecations, network failures, capacity constraints, security incidents, or events outside our reasonable control. We may change routing, providers, models, limits, or technical implementation where reasonably necessary to operate the Services.

10. Security

You must use reasonable security practices when integrating with Zorveus. You must not expose secret API keys, access tokens, or private credentials in public client-side code unless specifically designed for that purpose.

If you discover a vulnerability affecting Zorveus, please report it responsibly to security@zorveus.com.

11. Intellectual Property

Zorveus and its licensors own all rights in the Services, including software, APIs, SDKs, documentation, designs, trademarks, logos, and related technology, except for content owned by users or third parties.

Subject to these Terms, Zorveus grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal or authorized business purposes.

You may provide feedback to Zorveus. If you do, you grant Zorveus permission to use that feedback without restriction or obligation to you.

12. Confidentiality

If either party receives non-public information that is identified as confidential or would reasonably be understood as confidential, the receiving party will use reasonable care to protect it and will use it only for purposes related to the Services. This obligation does not apply to information that is publicly available through no breach, was lawfully known without restriction, is independently developed, is lawfully received from a third party, or must be disclosed by law.

13. Privacy

Our collection and use of personal data is described in the Zorveus Privacy Policy. If you use Zorveus to process personal data on behalf of your users, you are responsible for determining whether additional agreements, including a data processing agreement, are required.

14. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, payment is overdue, your use creates security, legal, fraud, or abuse risk, suspension is required by law, or continued access could harm Zorveus, third parties, or the Services. Where reasonably possible, we will provide notice before termination, but immediate suspension may occur where necessary. Upon termination, outstanding payment obligations remain due.

17. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Zorveus and its affiliates from claims, damages, liabilities, losses, and expenses arising from your use of the Services, your applications or products, your Inputs, your end-user relationships, your violation of law, your violation of these Terms, or your infringement of third-party rights.

18. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice where required. Continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.

20. General

These Terms constitute the agreement between you and Zorveus regarding the Services unless another written agreement expressly supersedes them. If any provision is found unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our consent, except as permitted by law. Zorveus may assign these Terms as part of a merger, acquisition, restructuring, or sale of assets.
